Outside directors rarely oppose management

Outside directors at the 10 largest companies rarely voted against proposals by management last year, a report by the financial regulator showed Monday. According to data compiled by the Financial Supervisory Service (FSS), 91 affiliates of the 10 largest companies on average dealt with 2,151 proposals at 10.5 board meetings last year, with none of the proposals voted down by outside directors.
